Kingpin Terms & Conditions

These Terms & Conditions (the “Terms”) govern access to and use of kingpin.ai, our marketing pages, platform (including seller and buyer portals), and any publicly available areas of our web applications (collectively, the “Platform”). By accessing or using the Platform, you agree to these Terms. If you are using the Platform on behalf of a company, you represent that you have authority to bind that company, and “you” means that company.

These Terms cover free/public Platform use. If you purchase or use our paid software and services, that use is governed by our SaaS Subscription Agreement (and any Order) which will control if there is any conflict.

1. Accounts & Eligibility 1.1 Eligibility. You must be at least the age of majority in your jurisdiction and legally capable of entering contracts. 1.2 Accounts. Some areas of the Platform may require an account. You are responsible for all activity under your credentials and for keeping them secure. We may refuse, suspend, or reclaim usernames that impersonate others or violate law or these Terms.

2. The Platform; No Marketplace Liability 2.1 Informational and Functional Access. The Platform provides information about our AI-powered B2B wholesale services and includes features for sellers (e.g., Prospect AI for lead generation, catalog management, order management) and buyers (e.g., order placement). We may change or discontinue the Platform (in whole or part) at any time. 2.2 No Merchant-of-Record. Any commercial transactions for goods between buyers and sellers facilitated by the Platform occur outside these Terms and are strictly between buyer and seller. Kingpin is not a party to such transactions and is not the seller, merchant of record, invoicer, or payee. (Buyer order flows are governed by separate Buyer Order Terms surfaced in-product.) 2.3 Integrations. If you use integrations (e.g., with ERP systems), they are subject to third-party terms; Kingpin is not liable for their performance or data handling (see Integration One Pager for options). 2.4 No Professional Advice. Content on the Platform is provided for general information only.

3. Acceptable Use You will not (and will not permit anyone to): a) access or use the Platform for unlawful purposes, to infringe rights, or to violate export/sanctions laws; b) copy, modify, reverse engineer, decompile, or create derivative works of the Platform (except to the extent permitted by law); c) bypass or interfere with security or access controls, rate limits, or technical measures; d) scrape, harvest, mine, or collect information from the Platform in a way that is automated, bulk, or inconsistent with our robots.txt or technical controls; e) use the Platform to send or facilitate unsolicited or unlawful marketing, including spam or phishing; f) misrepresent your identity or affiliation, or impersonate any person or entity; g) upload viruses, malware, or harmful code; h) use Prospect AI or surfaced data for illegal, unethical, or non-B2B purposes. We may monitor use for security, abuse, and compliance and may suspend access for violations.

4. Your Content & Feedback 4.1 Your Content. If you submit content (e.g., catalogs, orders, form inputs, comments, feedback), you grant Kingpin a non-exclusive, worldwide, royalty-free, sublicensable license to use, host, reproduce, modify, and display such content to operate, secure, and improve the Platform. You represent you have all rights needed for such content and that it does not infringe or violate law or third-party rights. 4.2 Feedback. If you send suggestions, ideas, or proposals, you grant Kingpin a perpetual, irrevocable, royalty-free license to use them without restriction or attribution.

5. Third-Party Links; Prospect Data Concepts 5.1 Links. The Platform may link to third-party websites, services, or resources. We are not responsible for their content, policies, or practices. 5.2 Prospect/Lead Concepts. Our Platform may surface B2B prospect/company/contact information from licensed providers (e.g., Ocean.io) and public business sources. Any outreach or processing you perform using such data is your responsibility and must comply with applicable marketing and e-privacy laws (e.g., no unsolicited communications). (Details appear in our Privacy Policy and, for paid customers, our DPA and SaaS Agreement.)

6. Intellectual Property The Platform (including text, graphics, logos, UI, software, AI models, and other content) is owned by Kingpin or its licensors and protected by IP laws. Except for the limited rights expressly granted in these Terms, no license is granted, whether by implication, estoppel, or otherwise. KINGPIN, associated logos, and product names are trademarks of Kingpin, Inc.

7. Privacy Your use of the Platform is subject to our Privacy Policy, which explains how we collect and process personal data as controller for website/account/usage data and how our customers may process data in our products. Please review it carefully.

8. Disclaimers THE PLATFORM AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, KINGPIN DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT CONTENT WILL BE ACCURATE OR CURRENT.

9. Limitation of Liability 9.1 Cap. TO THE MAXIMUM EXTENT PERMITTED BY LAW, KINGPIN’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS WILL NOT EXCEED THE GREATER OF £100 (ONE HUNDRED POUNDS STERLING) OR 1X THE MONTHLY FEES PAID IN THE PRIOR MONTH. 9.2 Excluded Damages. TO THE MAXIMUM EXTENT PERMITTED BY LAW, KINGPIN WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; OR FOR LOST PROFITS, REVENUE, GOODWILL, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 9.3 Paid Services. If you have a paid subscription, liability and remedies are governed by your SaaS Subscription Agreement and the applicable Order, which will control in the event of conflict.

10. Indemnity You will defend, indemnify, and hold harmless Kingpin and its affiliates, officers, directors, employees, and agents from and against any claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from or related to: (a) your content; (b) your use of the Platform in violation of these Terms or law; or (c) your marketing or outreach using prospect/lead information.

11. Changes; Suspension; Termination 11.1 Changes. We may update these Terms from time to time. If we make material changes, we will provide notice (e.g., banner or email) and update the Effective Date. Continued use of the Platform after changes take effect constitutes acceptance. 11.2 Suspension/Termination. We may suspend or terminate access to the Platform at any time, including where we reasonably believe there is a security risk or violation of these Terms. You may stop using the Platform at any time.

12. Export & Sanctions You must comply with all applicable export control, sanctions, and trade compliance laws and will not access or use the Platform in embargoed countries or by prohibited persons.

13. Governing Law; Venue These Terms and any non-contractual obligations arising out of or in connection with them are governed by English law. The parties submit to the exclusive jurisdiction of the English courts.

14. General 14.1 Entire Agreement. These Terms constitute the entire agreement between you and Kingpin regarding Platform use. If you also use our paid services, the SaaS Subscription Agreement and Order govern those services. 14.2 Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign to an affiliate or in connection with a merger, acquisition, or sale of assets. 14.3 Severability; Waiver. If any provision is held unenforceable, it will be modified to the minimum extent necessary; the remainder remains in effect. Failure to enforce a provision is not a waiver. 14.4 Notices. We may provide notices via the Platform, email, or your account. You may notify us at legal@kingpin.ai. 14.5 No Third-Party Beneficiaries. These Terms create no third-party beneficiary rights.
